Version v1.2. By accepting these terms you agree to promote
Silver Software Distribution ("we", "us") products under the following conditions.
1. Independent Contractor
You act as an independent contractor, not an employee or agent. You control your own hours and
method of promotion, use your own equipment, and are free to promote competing products. You
trade on your own account and are solely responsible for your own tax affairs, including notifying
us if you become a registered VAT vendor.
2. No Brand Bidding
You may not bid on our brand or supplier trademarks in paid search (e.g. "silversd", "avast south
africa", "avg sa", or misspellings thereof), or use them as a display URL. Breach results in
forfeiture of unpaid commission and termination.
3. No Unsolicited Email or SMS
You may not send unsolicited email or SMS, or use purchased contact lists, to promote your link.
Only POPIA-compliant, consent-based marketing is permitted.
4. Disclosure
Where required by the ARB Code of Advertising Practice, you must disclose any material connection
(e.g. "#ad") when promoting your link.
5. No Impersonation
You may not register domains containing our marks, use our logos, or claim to be an official or
authorised representative of Silver Software Distribution.
6. Commission
You earn a commission on the first qualifying order placed through your link, at the rate published
in your affiliate dashboard at the time of the sale. Renewals and later orders from the same buyer
do not earn further commission. Commission is paid by EFT to a South African bank account in your
own name once your approved balance reaches the published payout threshold.
7. Dormancy — Balance Expiry
If you have an outstanding (not yet paid out) balance and have not earned a new commission for 12
consecutive months, that outstanding balance lapses. The 12 months is measured from the date of your
most recent earned commission, not your signup date — so as long as you refer at least one qualifying
sale every 12 months, your balance never lapses, no matter how long you've been registered. We'll
email you a warning one month before any balance lapses.
8. What's Permitted
Content, reviews, social media, your own opt-in mailing list, word of mouth, and WhatsApp are all
permitted ways to share your link.
9. Term and Termination
This agreement takes effect when you accept it and continues until terminated. You may terminate
at any time by ceasing use of your affiliate link and notifying us. We may suspend or terminate your
participation immediately, without notice, for breach of these terms — including but not limited to
brand bidding, unsolicited marketing, or impersonation as described above. Termination for breach
forfeits any commission not yet paid out, as set out in clause 2. Where your participation ends for
any other reason, commission you have already earned is still approved and paid out in the ordinary
course, subject to the normal hold period and payout threshold.
10. Limitation of Liability
We do not guarantee any level of sales, commission, or continued availability of the affiliate
program, your affiliate link, or the affiliate portal. To the fullest extent permitted by law, we are
not liable for any indirect, incidental, or consequential loss arising from your participation, and
our total liability to you under this agreement is limited to the commission actually earned and
payable to you in the three months preceding the event giving rise to the claim.
11. Indemnification
You indemnify and hold us harmless against any claim, loss, or liability arising from your marketing
activities, your breach of these terms, or your breach of any applicable law (including POPIA and
the ARB Code of Advertising Practice) in connection with your participation in the affiliate program.
12. Governing Law
This agreement is governed by the laws of the Republic of South Africa, and the South African courts
have exclusive jurisdiction over any dispute arising from it.
13. Entire Agreement
These terms, together with the commission rate and payout threshold published in your affiliate
dashboard from time to time, are the entire agreement between us regarding the affiliate program and
supersede any prior discussions. If any clause is found invalid or unenforceable, the remaining
clauses continue in full force.
14. Changes to These Terms
These terms are versioned. If we make a material change, you will be asked to re-accept the new
version before continuing to use the affiliate portal.
